Clause 7. Confidentiality

7.4. Each Party shall keep confidential the technical, commercial and financial information it accesses under this Agreement, applying the same degree of care it applies to its own confidential information.

7.5. The obligations under this Clause survive for five (5) years from the end of this Agreement, whatever the cause of termination.

Clause 8. Term and termination

8.1. Either Party may terminate this Agreement for convenience upon no less than sixty (60) days prior written notice, subject to Clause 8.3.

8.2. The termination fee shall be capped at twenty per cent (20%) of the remaining Contract value as at the date of notice, replacing the percentage set out in the prior version.

8.3. The notice period under Clause 8.1 binds both Parties on a reciprocal basis and shall not apply to termination for cause.

8.4. Either Party may terminate with immediate effect where the Client remains in payment default for more than thirty (30) days, without further notice.
