General Terms and Conditions of Use for the Forlex Platform
Version 1.0 - January 2, 2025
By using the Forlex platform, you agree to these Terms of Use. If you do not agree to these Terms, do not use the Platform.
Welcome to the Forlex platform.
These Terms of Use ("Terms") govern your use of the Forlex platform ("Platform"), developed and operated jointly by Forlex, LLC, a company incorporated in Delaware, United States, and its sister company Forlex Ltda., registered in Brazil under CNPJ/MF No. 49.118.347/0001-22 (together, "Forlex"). Both companies operate together.
You must read these Terms and related policies, make sure you understand them, and comply with all conditions that apply to your use of the Platform.

By using the Platform, you acknowledge and agree to the rules and conditions described here. If you do not understand or do not agree with any part of these Terms, do not use the Platform.
For these Terms, "User" means any person or organization that accesses or uses the Platform. "Client" means the person or organization that subscribes to or contracts for the Platform. "Input" means prompts, files, documents, data, or other materials submitted to the Platform. "Output" means content generated by the Platform based on Input. "Customer Content" means Input and Output together. "Usage Data" means metadata and telemetry about access to and use of the Platform, excluding Customer Content.
- Purpose of the Services Provided by the Platform
1.1. The Forlex Platform provides a reference-only service designed to assist Users with legal and professional work, including legal research and analysis, drafting pleadings and legal documents, document review, workflow automation, and related operational tasks. The Platform also provides services that use artificial intelligence features to help Users understand information, including legal information, case movement, procedural updates, documents, and business context. When using legal features, the User represents that they are a legal professional (lawyer, judge, prosecutor, public defender, or other legal professional) or that they have the technical knowledge and skills needed to use the Platform, and that they will comply with the Brazilian regulatory system and the rules governing their profession.
1.2. By using the Platform, the User acknowledges that the results and information provided do not replace legal advice from a qualified professional. The User also acknowledges that the Platform should not be treated as a substitute for the work, expertise, or responsibilities of a lawyer or duly licensed legal professional.
1.3. The User understands that the Platform does not practice law and does not provide legal advice, legal counseling, legal consulting, or any other professional activity reserved for licensed legal professionals. The Platform is limited to assisting with research, analysis, writing, document generation, and general workflow automation through artificial intelligence. Appropriate professional guidance must always be provided exclusively by legal professionals who are duly licensed for those activities.
1.4. Artificial intelligence and machine learning are probabilistic technologies. Output may be incomplete, inaccurate, outdated, non-unique, or unsuitable for a particular use case. The User is responsible for evaluating the accuracy, quality, legality, and suitability of all Output before using it, including through appropriate human review.
1.5. Similar Inputs from different users may produce similar or identical Outputs. Output generated for other Forlex clients or users is not considered the User's Customer Content.
- Registration
2.1. Registration and Access Restrictions.
2.1.1. Registration, use of the Platform, and access to Platform content are intended only for individuals or organizations. Automated queries to Content generated by the Platform are strictly prohibited.
2.1.1.2. If automation is used to access or extract data from the Platform, a non-compensatory contractual fine equal to 3 (three) times the value of the subscription plan selected by the User will apply. This penalty supports internal data governance and information security processes. This penalty does not limit Forlex's right to take additional legal action or to seek compensation for losses and damages, as applicable.
2.1.2. By registering, the User confirms that they have the necessary legal and civil capacity to contract for Platform services and accept these Terms.
2.1.3. After the User properly completes the information requested during Registration and/or in the User Profile, the Platform will create an account with an individual login and password for each User. The login will correspond to the email address provided and will be used to access the restricted account area and Platform features.
2.1.4. Content made available by the Platform will be based on information provided by the User and will be accessible only after Registration is properly completed, the current Terms are accepted, and the selected Plan is effectively paid. If a free trial period is available under Section 3.6, content will be made available based on the information provided by the User, provided that Registration is properly completed and the current Terms are accepted.
2.1.5. The User may access Platform features only after payment is confirmed in our system. Payment confirmation may take a few hours, depending on the selected payment method.
2.1.6. The account, login, and password used to access the Platform are personal and may not be transferred to third parties. The User is solely responsible for keeping them confidential, secure, and inaccessible to third parties.
2.1.6.1. Sharing a login or password with third parties is strictly prohibited. If sharing is identified, a non-compensatory contractual fine equal to 2 (two) times the value of the plan selected by the User will apply. This penalty reinforces information security and the integrity of Platform use.
2.1.7. If the User loses their login or password, the User must use the password recovery feature available on the Platform and follow the required steps, or contact support@forlex.ai to request credential cancellation.
2.1.8. If a Client designates administrators or other users to manage an account or workspace, the Client is responsible for those administrators' and users' access, permissions, acts, and omissions. The Client must promptly remove access for anyone who is no longer authorized to use the Platform.
2.1.9. The User must promptly notify Forlex at support@forlex.ai if they suspect or discover unauthorized access to the Platform, unauthorized use of access credentials, or any security issue affecting the account.
2.2. Responsibility for Information Provided.
2.2.1. The User is fully responsible for the information described in Section 2.1 and guarantees that the information provided is true and accurate.
2.2.2. The Forlex Platform is not responsible or legally liable for problems resulting from incorrect data provided by the User, results generated by the artificial intelligence platform that do not meet the User's expectations, or insufficient funds to complete a transaction.
2.2.2.1. Forlex uses reasonable security and prevention efforts to minimize errors in results generated by the Platform and in file uploads and downloads. However, Forlex is not responsible for damages arising from upload or download errors, temporary or permanent data unavailability due to technical failures, processing errors, or errors arising from use of the Platform.
2.3. Acceptable Use.
2.3.1. The User agrees not to: (i) use the Platform in a way that infringes, misappropriates, or violates any person's rights; (ii) use the Platform to create, share, or store unlawful, clearly offensive, or inappropriate material; (iii) share accounts or transfer access rights to third parties; (iv) reverse engineer, decompile, or attempt to derive the source code of the Platform, except where permitted by applicable law; (v) modify, localize, translate, or create derivative works of the Platform; (vi) use automated or programmatic methods to extract data, Content, or Output from the Platform, including scraping, harvesting, or bulk export outside approved functionality; (vii) use the Platform to build or support a competing product or service; or (viii) interfere with, disrupt, or attempt to compromise the Platform, its infrastructure, or its security controls.
2.3.2. The User is responsible for ensuring that they have the rights, consents, and authorizations needed to submit Input to the Platform and to use Output. The User is also responsible for verifying that use of Customer Content does not violate third-party rights or applicable law.
- Subscription Plans, Payment, and Billing
3.1. Subscription Plans
3.1.1. The Platform offers subscription plans described on the plans page. To access paid features, the User must subscribe to one of the available plans. Plans have a monthly usage cycle and may be billed monthly or annually, based on the User's choice.
3.1.2. Monthly plans are paid in advance for one month and provide continuous access to the resources and features of the selected plan during that monthly period.
3.1.3. Annual plans are paid in advance or in installments for 12 (twelve) months of use and provide continuous access to the resources and features of the selected plan during that annual period. The installment limit and installment method will be shown in the Platform.
3.1.4. If an annual plan is paid in installments, failure to pay any installment for more than 72 (seventy-two) hours will result in access suspension under Sections 3.2.4.1 and 3.4.7 of these Terms.
3.1.5. Forlex reserves the right to adjust subscription plan prices at any time. Adjustments will be communicated at least 30 (thirty) days in advance through the registered email address or a notification within the Platform.
3.2. Usage Limits and Overage Charges
3.2.1. Each subscription plan includes monthly usage limits for each feature, such as document drafting, PDF uploads, chat interactions, and other features available on the Platform, as specified on the Platform's plans screen.
3.2.2. Monthly usage limits do not roll over. If the User does not use the full limit for a feature, such as included document drafts or questions, the unused benefit will not transfer to the next cycle. At each new cycle, the usage limit is renewed without accumulation of unused services from the previous cycle.
3.2.3. Use of a feature will be counted regardless of the User's satisfaction with the quality or suitability of the Result obtained.
3.2.4. If the User exceeds the limits of the selected plan, an additional amount will be charged for the excess used ("Excess Usage"), as provided in the current plan. Excess Usage will be automatically charged through the payment method chosen by the User, preferably at the beginning of the User's next monthly usage cycle.
3.2.4.1. Forlex, at its sole discretion, may bill Excess Usage before the monthly cycle ends when the accumulated Excess Usage balance exceeds the limit established in the selected plan or in a customized plan under negotiation. In this case, a billing notification will be sent to the User through all registered channels, informing the User that the Excess Usage invoice has been closed and that automatic billing will be performed through the selected payment method. If the payment method requires User action, the User will have 72 hours to make payment; otherwise, the service may be suspended.
3.2.5. If a technical failure prevents the requested content from being generated on the Platform, the corresponding usage will not be counted for billing or credit consumption purposes. A technical failure means a problem related to infrastructure or Platform operation. The User must promptly notify the Platform of such failures, and the usage adjustment will occur after review and confirmation by the technical team. Notification must be sent to support@forlex.ai or through the support chat.
3.3. Payment and Billing
3.3.1. Payments must be made according to the prices and terms specified at the time of subscription. Billing occurs automatically on a recurring basis based on the selected plan, whether monthly or annual. At the end of each billing cycle, the subscription automatically renews and the amount corresponding to the plan is charged to the registered payment method without additional action or authorization from the User.
3.3.2. Subscriptions are charged monthly or annually, based on the selected plan, by credit card. The Platform may exceptionally offer other payment methods or subscription options.
3.3.3. To complete a subscription, the User must provide information for a valid credit card with available credit.
3.4. Information Updates and Cancellation
3.4.1. Users must keep their registration and payment information up to date and are responsible for the consequences of any errors or omissions.
3.4.2. The User may cancel a recurring subscription at any time, either directly on the Platform, by emailing the support team at support@forlex.ai, or by using the support chat available on the Platform. If an annual or monthly plan is canceled before the end of the subscription period, the User will continue to have access to the Platform until the end of that period. Under no circumstances will a financial refund be issued for remaining unused credits, whether for unproduced documents or any other type of credit.
3.4.3. Payments made on the Platform are non-refundable to the maximum extent permitted by applicable law and will be charged in full, regardless of whether the User uses all services available under the plan during a given month.
3.4.4. To confirm the validity of credit card data provided by a prospective User, whether an individual or organization, the Platform may perform a test transaction on the credit card in the amount of the chosen plan. That amount will be properly reversed, so no effective charge will result from the test transaction.
3.4.5. For all Plans, prepaid credit cards, similar cards, or any other payment method that does not allow immediate identification of the holder will not be accepted as a payment method.
3.4.6. The User represents and agrees that they will keep Registration and Payment information constantly updated and understands that omissions or incorrect information may cause harm to the User or third parties.
3.4.7. Forlex may, at its sole discretion, suspend access or unilaterally cancel the plan if the subscribing User is in default for 72 (seventy-two) hours or more. The Parties agree that prior notice is not required for suspension or cancellation.
3.5. Promotional Discounts
3.5.1. Forlex may offer specific discounts for annual plans at its sole discretion and may grant or withdraw those discounts at the end of the subscription period. Discounts are offered based on promotional conditions defined by the Platform and may vary by campaign or other internal criteria.
3.5.2. Forlex may, at its sole discretion, offer courtesy discounts to certain Users at certain times. These discounts apply to new subscriptions or renewals made during specific promotional periods and do not necessarily apply to subscriptions already in effect.
3.5.3. Discounts are granted at Forlex's discretion and may vary by campaign, selected plan, or customer profile. There is no guarantee that discounts will be available to all Users or under all circumstances, and Forlex reserves the right to change or discontinue any discount offer at any time.
3.6. Free Trial Period
3.6.1. Forlex may offer a free trial period for new Users, allowing Platform testing with a limited number of document drafts, questions, or other resources. The trial period may include specific features that are not available in the regular chosen plan. At the end of the trial limit, the User must subscribe to one of the offered plans to continue using the Platform.
3.6.2. Before subscribing to a plan, the User should evaluate which features and usage volumes best meet their needs, considering that each plan offers different levels of access and usage limits. Selecting the appropriate plan is entirely the User's responsibility, and the User should review the conditions and limitations of each available option.
3.6.3. Violating free trial terms, including by using multiple email addresses to obtain additional benefits, may result in loss of the right to the free trial and blocking of the accounts involved.
- Intellectual Property Rights
4.1. The User acknowledges that any intellectual property developed by Forlex, including improvements or developments informed by suggestions, complaints, or other User interactions through any communication channel, will be the exclusive property of Forlex, LLC. The User waives any rights or claims they may have in relation to any legal or business aspect of that property.
4.2. The Platform is protected by copyright and intellectual property laws. Forlex and its licensors retain all rights, title, and interest in and to the Platform, including software, workflows, templates, interfaces, documentation, improvements, updates, and related intellectual property. No rights are transferred except as expressly provided in these Terms.
4.3. No company or entity, whether competing with Forlex or not, may copy and use texts generated by our AI system and/or pre-made Platform templates for economic purposes in similar or competing systems without Forlex's prior express written authorization. If any irregularity is identified, suspicious access will be immediately blocked and appropriate legal measures will be taken.
4.4. As between the User and Forlex, the User retains rights in Customer Content, subject to the rights and permissions granted in these Terms and any applicable client agreement.
4.5. The User grants Forlex a limited, non-exclusive, revocable license to host, store, process, transmit, display, and otherwise use Customer Content solely as needed to provide, secure, support, and maintain the Platform in accordance with these Terms, the Privacy Policy, and any applicable client agreement.
4.6. Forlex may collect and use Usage Data to operate, secure, support, and improve the Platform, manage capacity and billing, and understand feature performance. Usage Data may be shared with third parties only as permitted by confidentiality obligations, the Privacy Policy, or in aggregated or anonymized form that does not identify the Client, User, or Customer Content.
4.7. Forlex will not use Customer Content or confidential information to train generative or base AI models, and will not allow its sub-processors to do so, except if separately agreed in writing for a specific purpose.
- User Responsibilities
5.1. The User acknowledges that the Platform is an auxiliary, reference-only tool. It does not replace the User's work, knowledge, or responsibility for legal analysis and decision-making, including the duty to research legal, case law, and doctrinal sources and to draft pleadings and related legal documents. The User is responsible for reviewing and validating content generated by the Platform and may not hold Forlex responsible for divergences or inaccuracies.
5.2. The User acknowledges that content provided by the Platform is informational only and that Generated Content depends on the information and commands entered by the User in the system. The User is responsible for ensuring that the commands and information entered are appropriate. Use of the Platform does not replace consultation with properly qualified lawyers and legal professionals.
5.3. The User acknowledges that Forlex will not, under any circumstances, be responsible or required to repair any damages or losses, including lost profits and similar damages, that Users and/or third parties may incur due to inadequate or improper use of the Platform in any sphere, instance, or location, whether or not linked to the User and/or third parties.
5.4. Data provided by the User is entirely the User's responsibility. The Platform is not responsible for processing or using the data for activities other than assistance with legal research and the production and drafting of legal documents, except as described in these Terms and the Privacy Policy.
5.5. If the Platform is misused or used in a way that violates these Terms or applicable law, civil, criminal, and administrative responsibility will belong exclusively to the User. Forlex may suspend or cancel access to its system and may report the conduct to the competent authorities.
5.6. During the current phase of the Platform, information may be stored for service operation and improvement, subject to Sections 4.5, 4.6, 4.7, 9.1, and applicable data protection and privacy laws.
- Forlex Responsibility
6.1. Forlex undertakes to provide guidance, coordinate, and internally supervise proper Platform operation, and to keep its team working on Platform improvements with the goal of preventing, repairing, and mitigating technical problems arising from Platform operation. Forlex is not responsible for errors that may appear in Content or in Platform use, or for intermittent access issues related to third-party service providers.
6.2. Forlex also undertakes to provide guidance and instructions to Users when relevant communications are needed and/or upon specific request.
- Limitation of Liability
7.1. Forlex assumes no responsibility for direct, indirect, incidental, special, or consequential damages to Users resulting from use of, or inability to use, the Platform.
- Changes to the Terms and Platform
8.1. Forlex reserves the right to modify or update these Terms at any time. Changes take effect immediately after the revised Terms are published on the Platform. The User is responsible for reviewing the Terms periodically.
8.2. Subject to these Terms and other contracts entered into with Users, Forlex may implement changes, alterations, additions, deletions, and any other modifications to its products without creating any obligation to compensate, indemnify, or reimburse the User.
8.3. Forlex will notify the User whenever these modifications may result in relevant differences in the use of its products.
- Confidentiality
9.1. The Platform is obligated to maintain the confidentiality of data that is considered confidential under applicable law and has been provided by Users. The Platform may not disclose, reveal, reproduce, use, or make such data known to third parties, except with prior User consent or for purposes described in these Terms. Authorized third parties are those identified in the Privacy Policy, and the User grants consent for data processing at the time of registration.
9.2. The Platform will not be responsible, under any circumstances, for disclosure of User information by third parties authorized by Users.
- Account Termination
10.1. Forlex reserves the right to terminate or suspend any User account that violates these Terms.
10.2. Upon termination or expiration of the applicable subscription or agreement, the User's right to access the Platform will end. Upon reasonable request and subject to technical availability, Forlex may assist the Client in exporting Customer Content stored in the Platform in a standard format. Data deletion and retention are handled according to the Privacy Policy, the applicable client agreement, and applicable law.

- General Provisions
12.1. Independent Parties. These Terms do not create any partnership, joint venture, agency, mandate, or other association between the Parties that would authorize the User to act as a representative of the Forlex Platform.
12.2. Severability. If any provision of these Terms is declared null, invalid, or ineffective, that declaration will not affect the validity or effectiveness of the remaining provisions. The remaining provisions will remain binding on the Parties as if the null, invalid, or ineffective provision had been separated and excluded. The Parties will use their best efforts, by mutual agreement, to achieve the objectives of the null, invalid, or ineffective provision, including by adding a substitute provision.
12.3. Venue. The courts of the City of Goiânia, State of Goiás, Brazil, are elected to resolve any issues arising from these Terms.
12.4. By using the Platform, the User fully agrees to these Terms.
